Welcome to Friday Labs. These Terms & Conditions (“Terms”) govern your access to and use of our website, services, and software (collectively, the “Services”). By accessing or using our Services, you agree to these Terms. If you do not agree, you may not use our Services.


1. Services

Friday Labs provides workflow automation, AI implementation, data systems, and related consulting. Specific scopes of work, deliverables, and timelines will be detailed in separate agreements (e.g., proposals, statements of work, or order forms).

We may update, modify, or discontinue features of the Services at any time without notice.


2. Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms. If you are using our Services on behalf of an organization, you represent that you have authority to bind that organization.


3. Use of Services

You agree not to misuse the Services. Misuse includes but is not limited to:

  • Attempting to gain unauthorized access to systems or data.

  • Copying, reselling, or redistributing our Services without permission.

  • Using the Services in violation of applicable laws or regulations.


4. Payment & Billing

Fees for Services are specified in your proposal, order form, or invoice. Payments are due as stated on the invoice. Unless otherwise agreed:

  • Late payments may incur interest at 1.5% per month (or the maximum permitted by law).

  • Certain Services may require upfront deposits or retainers.

  • All fees are exclusive of taxes, which you are responsible for.


5. Intellectual Property

  • All intellectual property created by Friday Labs during client engagements remains the property of Friday Labs until full payment is received.

  • Upon payment, ownership of custom deliverables (e.g., workflows, dashboards, trained AI models) transfers to the client, except for Friday Labs’ pre-existing tools, frameworks, or proprietary methods.

  • You may not use Friday Labs’ trademarks, logos, or branding without prior written consent.


6. Confidentiality

Both parties agree to keep confidential information private and to use it only for purposes related to the Services. This obligation survives termination of these Terms.


7. Data & Privacy

You are responsible for ensuring that any data you provide complies with applicable data protection laws. Friday Labs will process data according to our [Privacy Policy]. We do not guarantee compliance of your data flows or use of AI with third-party regulations unless expressly contracted.


8. Warranties & Disclaimers

  • The Services are provided “as is” and “as available.”

  • We do not guarantee specific outcomes, uptime, or results unless explicitly stated in writing.

  • To the fullest extent permitted by law, Friday Labs disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.


9. Limitation of Liability

Friday Labs is not liable for indirect, incidental, consequential, or punitive damages, or for lost profits, revenues, or data. Our total liability for claims arising out of or relating to the Services will not exceed the amount paid by you for the Services in the 3 months preceding the claim.


10. Termination

Either party may terminate Services with written notice according to the terms of the specific agreement in place. Friday Labs may suspend or terminate access to Services if you breach these Terms.


11. Governing Law

These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to conflict of laws principles. Any disputes will be resolved in the courts located in Boston, MA.


12. Changes

We may update these Terms from time to time. The updated version will be posted on this page with the “Last updated” date. Continued use of the Services constitutes acceptance of the changes.
